Today’s contract clauses

01Limitation of LiabilityClient contract

02IndemnificationClient contract
Client agrees to indemnify, defend, and hold harmless Bestie from any claims, damages, or expenses, including reasonable attorneys’ fees, arising from the acts or omissions of Client, Client’s guests, or any vendor hired by Client, except to the extent caused by Bestie’s gross negligence or willful misconduct.
03Assumption of RiskClient contract

04Vendor Referral DisclaimerClient contract

05Subcontractor ClauseClient contract
Bestie may engage qualified independent contractors, such as associate photographers or assistants, to perform part of the Services. These contractors are not employees of Client. Use of a qualified contractor in a similar style and quality does not constitute a breach of this Agreement.
06Conduct + SafetyClient contract
Bestie is entitled to a safe and respectful work environment. If Bestie or any member of Bestie’s team experiences harassment, threats, or unsafe conditions from Client or Client’s guests, Bestie may stop providing Services without refund, and Client remains responsible for the full balance due.
07Guest DamageClient contract
Client is responsible for any loss of or damage to Bestie’s equipment, rentals, or décor caused by Client or Client’s guests, and agrees to pay the reasonable repair or replacement cost within thirty (30) days of Bestie’s invoice.
08Attorneys’ FeesClient contract
In any action or proceeding to enforce this Agreement, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and costs.
+InsuranceBonus: subcontractor agreement
Contractor shall maintain general liability insurance of at least $[1,000,000] per occurrence, shall name Bestie as an additional insured, and shall provide a certificate of insurance before the first event.
+Client CommunicationBonus: subcontractor agreement
While performing services at Bestie’s events, Contractor will direct all communication with Bestie’s clients through Bestie and will not promote, advertise, or offer Contractor’s own services to Bestie’s clients. This does not restrict Contractor from working with any person or business outside of Bestie’s events.
These are sample clauses for education, not legal advice. Every business and state is different, so make sure they fit yours before you use them.
